1. INTRODUCTION
These Master Terms of Use (“Terms”) govern access to and use of the Infee platform available at infee.io and app.infee.io (the “Platform”).
The Platform is operated by:
PIXEL ART, Marko Popović s.p.
Agrokombinatska cesta 6c, 1000 Ljubljana, Slovenia (“Infee”, “Company”, “we”, “us”).
By registering an account or using the Platform, the user agrees to be legally bound by these Terms and all referenced policies.
2. DEFINITIONS
For purposes of these Terms and all related policies: “Merchant” means a registered business entity offering products or services for affiliate promotion. “Influencer” means an individual or legal entity promoting Merchant products via tracking links. “Commission” means performance-based compensation determined by the Merchant. “Integration” means the technical connection between Merchant systems and the Platform, including webhook or API mechanisms. “Attribution” means the assignment of a transaction to an Influencer according to Platform tracking logic. “Reserve Period” means the defined holding period before commissions become eligible for payout. “Processing Fees” means transaction-related payment processing and payout costs. “Suspension” means temporary restriction of access, campaigns, or payouts. “Termination” means permanent revocation of Platform access.
3. NATURE OF THE PLATFORM
Infee operates a SaaS affiliate and performance-based marketplace.
Infee:
- provides tracking technology,
- enables transaction attribution,
- calculates commissions,
- facilitates reporting.
Infee does not:
- act as employer of Influencers,
- resell Merchant products,
- act as contractual agent for either party,
- guarantee revenue or campaign results.
Commercial relationships remain between Merchant and Influencer, and between Merchant and end customer.
4. ELIGIBILITY
Users must:
- be at least 18 years old,
- have legal capacity to enter binding agreements,
- provide accurate and complete information.
Infee may request identity or tax verification at any time.
5. ACCOUNT RESPONSIBILITY
Users are responsible for:
- safeguarding login credentials,
- maintaining accurate information,
- all activity under their account.
Infee may suspend accounts providing false or misleading data.
6. PLATFORM FUNCTIONALITY
The Platform enables:
- affiliate link generation,
- click tracking via redirect mechanisms,
- configurable attribution windows (default 30 days unless defined otherwise by Merchant),
- webhook/API-based sales confirmation,
- commission calculation and reporting.
Infee reserves the right to update tracking logic to maintain system integrity.
7. COMMISSIONS AND PAYMENTS
Commission calculation, reserve periods, payout thresholds, processing fees, and reversals are governed by the Commission & Payout Policy.
Commissions are not guaranteed income.
Infee may:
- reverse commissions for refunds or chargebacks,
- suspend payouts pending review,
- withhold funds where required for compliance.
8. TAX RESPONSIBILITY
Each user is solely responsible for:
- declaring income,
- paying applicable taxes,
- complying with local tax regulations.
Infee may collect and report data under DAC7 or other regulatory obligations.
9. THIRD-PARTY SERVICES
The Platform relies on third-party providers including infrastructure services and payment processors.
Infee is not liable for outages, API disruptions, browser restrictions, or third-party failures.
10. INTELLECTUAL PROPERTY
All Platform software, branding, and systems remain the exclusive property of Infee.
Users receive a limited, revocable license to use the Platform for its intended purpose.
Reverse engineering or unauthorized use is prohibited.
11. PROHIBITED CONDUCT
Users must comply with the Acceptable Use Policy and Anti-Fraud & Attribution Policy.
Violations may result in Suspension or Termination.
12. SUSPENSION AND TERMINATION
Suspension and Termination procedures are governed by the Termination & Account Suspension Policy.
Infee may suspend or terminate accounts for breach, fraud suspicion, payment default, or regulatory risk.
13. LIMITATION OF LIABILITY
Liability is governed exclusively by the Limitation of Liability & Disclaimer Policy.

In case of conflict:
1. Limitation of Liability Policy governs liability matters.
2. Role-specific agreements govern user-specific obligations.
3. These Terms govern general use.
15. ASSIGNMENT
Infee may assign these Terms to a successor entity, including a newly established limited liability company (d.o.o.), without additional consent.
16. SURVIVAL
The following survive Suspension or Termination:
- Tax Responsibility
- Indemnification
- Liability limitations
- Fraud and clawback rights
- Regulatory reporting obligations
- Payment obligations
- Dispute resolution clauses
17. REGULATORY RESERVATION
Infee may implement additional compliance or security measures required by law, payment processors, or regulatory authorities.
18. SEVERABILITY
If any provision is deemed unenforceable, the remaining provisions remain in effect.
19. ENTIRE AGREEMENT
These Terms and referenced policies constitute the entire agreement between users and Infee.
20. GOVERNING LAW
These Terms are governed by the laws of the Republic of Slovenia.
Disputes fall under the jurisdiction of the competent court in Ljubljana.
